Terms of Service

These Terms form an agreement between you and Straz Inc., a Delaware corporation ("Straz," "we," "us," or "our"), covering the Straz app, www.heystraz.com and related services (the "Services").

IMPORTANT: SECTION 18 CONTAINS INDIVIDUAL ARBITRATION AND A CLASS-ACTION WAIVER FOR COVERED U.S. DISPUTES, WITH EXCEPTIONS AND A 30-DAY OPT-OUT. PLEASE READ IT. MANDATORY CONSUMER RIGHTS ARE PRESERVED.

You accept these Terms by affirmatively agreeing to them in our registration or other acceptance flow. Do not create an account or use account-based Services if you do not agree. Our Privacy Policy explains data practices; acknowledging it is not blanket consent to optional processing. Additional terms apply only when clearly presented and accepted where required.

1. Eligibility and accounts

You must be at least 18, have reached the age of legal majority where you live, and be legally able to enter this agreement. The current release does not support child or teen accounts. School sponsorship or parental permission does not waive this restriction.

Provide accurate account information, protect your credentials and notify support@heystraz.com of suspected compromise. Do not sell accounts, impersonate someone else, or share credentials to evade limits. You are responsible for activity you authorize and for breaches caused by your failure to take reasonable account-security precautions. This does not make you responsible for a security failure for which Straz is legally responsible.

If you act for an organization, you must have authority to bind it. Organization-wide access, administration and access to another person's private content require an expressly agreed arrangement; an individual subscription does not include those rights.

2. What Straz provides

Straz supports acting rehearsal through script processing, character selection, synthetic scene-partner speech, microphone-enabled and prerecorded rehearsal, editing tools and usage tracking. Functionality depends on the released version, device, connectivity and plan. Available upload formats and limits are shown in the app.

The current release does not provide user voice cloning, a public script-sharing library, or a saved recording/self-tape service. Roadmap discussions are not promises of future features. We describe material changes to paid Services under Section 14.

You are interacting with AI-generated scene partners. Parsing, transcription, timing, emotion labels and generated delivery can be wrong. Review material before relying on it. Delivery feedback does not establish your real emotional state, health, talent or suitability for employment. Straz does not guarantee audition, casting, educational or career outcomes and does not provide professional representation or legal, medical or other regulated advice.

Do not use Straz's delivery or emotion inferences to make hiring, casting-selection, grading, disciplinary or other consequential decisions about people, or deploy emotion-inference features in workplaces or educational institutions where prohibited.

3. Your scripts and content

"User Content" means material you submit or transmit through the Services, including scripts, notes, images in supported uploads, spoken input, instructions and support material. You retain the rights you lawfully hold. Uploading someone else's work does not make it yours.

You represent that you have the rights or other lawful authority needed for your use and for the processing described here. This includes uploading, cloud processing, necessary copying, analysis and synthetic speech generation by Straz and its service providers. You must comply with copyright, confidentiality, trade-secret, privacy, publicity and contractual obligations.

Permission to receive or rehearse a script does not necessarily include permission to upload it to an AI service. Do not upload material if an NDA, rights holder, casting instruction or other applicable restriction prohibits that processing. If uncertain, obtain authorization first. You must also have legally required permissions for other people's speech or personal information.

Straz does not give copyright clearance, permission to breach an NDA, or a determination that a particular use is fair use. Private rehearsal is not a guarantee that every processing activity is lawful.

Limited operational license

You grant Straz a nonexclusive, worldwide, royalty-free license to host, copy, transmit, format, analyze and display User Content and generate requested outputs only as reasonably needed to provide the Services, maintain your account, provide support, protect security, investigate misuse and meet legal obligations. We may allow contracted providers to exercise these rights only for those purposes and subject to applicable restrictions.

This license does not authorize selling your scripts as content, public distribution, unrelated advertising, public demonstrations or general-purpose model training. The Privacy Policy's training restrictions apply. The license ends when content is deleted, except for restricted copies lawfully retained for the purposes and periods described in that policy. Retaining a legal or backup record does not authorize unrelated reuse.

4. Privacy, microphone use and script correction

Private uploads are not made available to unrelated users. Necessary provider processing and authorized operational access are described in the Privacy Policy. Straz does not promise that confidential material can be processed without any risk.

Microphone-enabled features process speech, potentially including third-party transcription and delivery analysis. Device microphone permission is separate from having permission to capture another person's speech. Use these features only where you can lawfully do so. You may revoke microphone permission; affected features then stop being available. We provide additional notices and request separate consent where required.

Editing, line-hiding, scan recognition and watermark-handling tools are for lawful correction and rehearsal preparation. Do not use them to remove or alter copyright notices, attribution, ownership information, confidentiality notices or other rights-management information without lawful authority, or to facilitate infringement. A parsing tool's technical ability to skip a marking does not confer permission to remove it. Preserve your lawful original and inspect processed text for errors.

5. Sample scenes, voices and outputs

Straz Originals and other supplied sample scenes remain subject to Straz's or its licensors' rights. You may use them within the Services for rehearsal as permitted by your plan. No right to republish, sell or distribute those materials is granted. We may rotate samples. Some scenes contain mature themes; review their descriptions and stop if uncomfortable.

Synthetic voices are licensed for their permitted use in Straz. You acquire no ownership of voice models or underlying recordings. Do not clone, extract or build models from them, impersonate a real person, or present synthetic speech as an authentic recording or endorsement of a person.

Straz does not claim ownership of your underlying content or original contributions merely because an output is generated through the Services. That does not guarantee output copyright, exclusivity, noninfringement, public-performance rights or clearance of underlying scripts and voices. Similar outputs may be generated for others.

The current release licenses generated scene-partner audio for use within Straz. Any future export or outside-use feature must identify the rights it grants. This does not restrict lawful use of your own independently created performance or underlying content outside Straz.

6. License and acceptable use

Subject to these Terms, Straz grants a limited, nonexclusive, nontransferable license to use the Services for lawful personal or professional acting rehearsal. You must not:

Infringe rights, disclose content unlawfully, commit fraud, threaten or harass people, or create deceptive endorsements or nonconsensual intimate material.
Exploit children, upload malware, compromise accounts, disrupt service, or evade security, payment, usage or safety controls.
Extract scripts, voices, models or datasets at scale, or use the Services to train a competing model without permission.
Copy, resell or sublicense the software, or reverse engineer it except where applicable law gives a right that cannot be waived.
Conduct unauthorized automated access or security testing, remove required rights notices, or falsely imply endorsement by Straz or a provider.

These restrictions do not prohibit legally protected reporting, fair comment, lawful research or other nonwaivable rights. Contact us to report security concerns safely.

7. Straz intellectual property and feedback

Straz and its licensors retain all rights in the software, interface, documentation, service technology and supplied content. The STRAZ name and Straz logos are trademarks of Straz Inc. No ownership rights transfer to you, and these Terms do not grant a license to use Straz’s trademarks except as expressly permitted. Without our prior written permission, you may not use those marks in a way that is likely to cause confusion about source, sponsorship, affiliation or endorsement. This restriction does not prohibit truthful references to Straz or other uses permitted by applicable law. All rights not expressly granted are reserved.

You may voluntarily provide product ideas or suggestions. To the extent you have the right, you grant Straz a perpetual, worldwide, royalty-free right to use, adapt and incorporate that feedback, including through contractors and successors. This does not grant rights to private scripts, performances, personal information or third-party material attached to a bug report. Privacy and confidentiality restrictions continue to apply.

8. Plans, payments and renewal

The current release offers Free access and monthly Plus and Pro subscriptions. The purchase screen states the price, currency, billing period, features and limits. Apple or Google processes in-app purchases; RevenueCat supports entitlement management. Other plans or purchases are available only if expressly offered through the Services with their applicable terms.

Paid subscriptions renew monthly until canceled. By confirming a purchase after receiving the renewal disclosures, you authorize recurring charges at the disclosed price and applicable taxes, subject to required price-change notice and consent. The store's billing date and purchase confirmation control. We provide disclosures and cancellation information required by law and the platform.

Cancel through the store where you purchased: Apple subscriptions through your Apple account, and Google Play subscriptions through Google Play. The app's subscription settings link to those controls. Cancel before the renewal processing deadline shown by that platform. Cancellation stops future renewal; paid access normally continues until the current period ends.

Deleting the app or Straz account does not automatically cancel a store subscription. Contact support if you need help finding the controls. We do not charge undisclosed usage overages under the current plans.

Free access and complimentary grants do not themselves authorize a later paid charge. A paid subscription requires a separate purchase. If a future trial converts to paid service, its price, date, renewal and cancellation terms must be disclosed and accepted before enrollment.

9. Allowances, expiry and stored scripts

Your plan includes a limited allowance measured in minutes for processing and rehearsing your uploaded scripts. The plan and usage screens explain the allowance, how usage is counted and when it resets. Allowance minutes measure service usage rather than money held for you, and include script preparation as well as rehearsal.

Preparing an uploaded script, including a PDF, uses approximately six allowance minutes for reading the script and analyzing its characters and character arcs. This is an estimated usage deduction, not an estimate of how long you will wait. The applicable deduction or metering method, including any material variation, must be disclosed before processing.

Live rehearsal with uploaded scripts consumes allowance as Straz processes your spoken lines and generates scene-partner responses based on your delivery. Repeating lines, rehearsing a scene again, or requesting changes that require fresh analysis or generation can consume additional minutes. Usage follows the disclosed processing and timing method rather than simply how long the app is open.

Using the Straz Originals scripts included in the app does not consume your allowance. Access to individual Originals remains subject to your plan and content availability.

Choosing not to use a successfully generated result, or deleting it later, does not automatically restore correctly deducted minutes. Section 10 explains how to report errors and request remedies.

Review your remaining allowance before requesting more processing. Once it is exhausted, affected features may be restricted until the next reset or an available plan upgrade you choose under its disclosed terms. Reaching the limit does not cancel your subscription, start a new billing period or authorize an extra charge. Any separate purchase requires your express authorization. Restrictions must follow your plan's disclosed limits.

Unused allowances do not roll over unless your offer says otherwise. They are not transferable or redeemable for cash, except as required by law. Changes to allowances or metering apply prospectively with required notice and cannot retroactively authorize unexpected charges.

Cancellation stops renewal; your existing paid access continues through the paid period, subject to your remaining allowance. After expiry, paid features become unavailable. Uploaded scripts and prepared audio are scheduled for deletion from active systems 30 days after paid-plan expiry unless you renew before deletion or a necessary legal exception applies. That storage period does not extend paid access. Backup and legal retention follow Privacy Policy Section 6. Keep a lawful copy of important material outside Straz.

10. Refunds and consumer rights

Refunds are subject to applicable law, your purchase terms and the relevant app store's rules. Any goodwill refund offered by Straz beyond those requirements is discretionary, requires Straz's approval and is not guaranteed. Approval of one request does not create an entitlement to future refunds. Apple and Google may independently decide refunds under their policies; Straz's approval is not required for a refund they grant or that the law requires. Use the store's refund process for store purchases. Contact support@heystraz.comabout service problems, incorrect deductions or failed processing so we can investigate and provide an appropriate correction or remedy.

Subject to those rights, cancellation during a paid period, exhausting a correctly measured allowance, repeating generations, choosing not to use successfully provided results, or wanting more usage than the plan clearly disclosed does not by itself entitle you to a refund, extra minutes or an extension.

Nothing in these Terms removes mandatory remedies for misleading descriptions, unauthorized charges, incorrect deductions or defective service. Where a digital-content withdrawal right can be lost only through express consent and acknowledgment, we request them separately in the purchase process; agreement to these Terms alone is insufficient.

11. Third parties and beta features

Providers can affect availability, model behavior and performance. Independent services you choose may have their own terms. Straz remains responsible for obligations applicable to its own service and cannot avoid them merely by using a vendor.

Features specifically labeled beta may contain errors, change or be withdrawn. Use them with appropriate care and keep original materials. Beta status does not eliminate privacy commitments or mandatory consumer rights. New uses of content require appropriate disclosure and authorization.

12. Copyright notices and counter-notices

Send copyright complaints to Straz Inc., Attention: Copyright Complaints, at the postal address in Section 22 or support@heystraz.com, subject "Copyright Notice."

A notice should identify the copyrighted work and the allegedly infringing material with enough detail to locate it; provide your contact details and signature; state your good-faith belief that the use lacks authorization from the owner, its agent or law; and state that the information is accurate and, under penalty of perjury, you are authorized to act for the owner.

We respond to qualifying notices, may remove or disable material, and notify the affected user as appropriate. We maintain and reasonably implement a policy to terminate repeat infringers in appropriate circumstances and accommodate applicable standard technical measures.

If you believe removal was mistaken, you may send a signed counter-notice identifying the removed material and former location, your name, address and telephone number, and a statement under penalty of perjury that you believe removal resulted from mistake or misidentification. Include consent to the jurisdiction of the federal district court for your address, or, if outside the United States, a district where Straz may be found, and acceptance of service from the notifying party or its agent.

Where the statutory process applies, we forward a valid counter-notice and restore material within the applicable 10-14 business-day window unless notified of a qualifying court action. We may separately restrict material for an independent lawful Terms violation. Notices may be shared as needed to administer this process; do not include unnecessary sensitive information. Knowing material misrepresentations may create liability.

13. Suspension and termination

We may restrict access proportionately for a material Terms violation, nonpayment, reasonably suspected compromise, legal obligations or a serious security or misuse risk. Where practical and lawful, we provide a reason and an opportunity to address the issue. Immediate action may be needed to protect people, systems or rights.

You may stop using the Services and request deletion. Cancel any renewing subscription separately. Termination ends the service license; content handling follows the Privacy Policy. Earned payment obligations and provisions intended to survive remain effective. Termination does not automatically forfeit nonwaivable refunds or eliminate privacy rights.

14. Service changes and discontinuation

We may update features, formats, voices and providers. A specific voice or roadmap feature is not guaranteed indefinitely. For changes materially reducing an existing paid service, we give reasonable advance notice where practical, preserve mandatory remedies and provide an appropriate cancellation/refund route where required. Urgent legal or security changes may take effect sooner with notice as appropriate.

If we discontinue a paid service without user fault, we address unused prepaid service consistently with applicable law and purchase terms. Events outside reasonable control may cause delay, but do not excuse legal duties, reasonable mitigation or remedies that cannot be waived.

15. Disclaimers

TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." STRAZ AND ITS LICENSORS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED. WE DO NOT GUARANTEE ERROR-FREE AI OUTPUT, UNINTERRUPTED OPERATION, ABSOLUTE SECURITY OR PROFESSIONAL OUTCOMES.

These disclaimers do not contradict an express commitment we make, excuse deception or unlawful conduct, or exclude statutory guarantees and remedies that cannot be waived. Your rights depend on applicable law.

16. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, STRAZ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM THE SERVICES, INCLUDING SUCH LOSSES INVOLVING PROFITS, OPPORTUNITIES, GOODWILL, DATA OR PROFESSIONAL OUTCOMES.

TO THE EXTENT PERMITTED BY LAW, THEIR COMBINED AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF US $100 OR THE AMOUNTS YOU PAID FOR STRAZ SERVICES, INCLUDING THROUGH APP STORES, DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Multiple claims do not multiply this cap. These limitations apply regardless of the legal theory and whether the possibility of the damage was known.

Nothing limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that applicable law does not permit us to limit. Mandatory consumer and privacy rights remain available. Where a limitation is prohibited, it does not apply to that claim. This section does not prevent regulatory complaints or cooperation with authorities.

17. Indemnification

To the extent permitted by law, you will indemnify Straz and its officers, directors and employees for reasonable losses, damages and defense costs arising from a third-party claim caused by your unlawful upload or use of content, infringement of rights, fraud, intentional misuse, or material breach of these Terms. This obligation does not cover losses to the extent caused by Straz's own unlawful conduct, negligence or breach.

Straz will give reasonably prompt notice and permit reasonable participation in the defense. We may control the defense using appropriate counsel. You must reasonably cooperate, but neither party may agree to a settlement imposing an admission or nonmonetary obligation on the other without its consent, not unreasonably withheld. This section does not shift costs for exercising nonwaivable consumer rights.

18. Resolving disputes

Informal resolution

Contact support@heystraz.com, subject "Legal Dispute Notice," identifying your account, the issue and requested resolution. Straz sends its notice to your account contact. We will attempt resolution for 45 days after receipt, with applicable limitation periods tolled to the extent lawful. This process does not prevent urgent relief, small claims, regulator complaints or steps necessary to preserve a legal deadline.

Individual arbitration for covered U.S. disputes

If you reside in the United States and have not opted out, unresolved disputes relating to these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, except as stated below. Rules and filing information are available at https://www.adr.org/rules-forms-and-fees/consumer/.

The Federal Arbitration Act governs this arbitration agreement. The arbitrator may award remedies available for the individual claim and provides a reasoned decision. Hearings may use remote procedures or a reasonably convenient location under the rules. Fees are allocated under the applicable AAA consumer schedule and law; Straz pays the amounts required of the business. Nothing imposes greater consumer costs than permitted by those rules and law.

A court decides formation, validity and enforceability of this arbitration agreement and the class waiver. Other arbitrable issues are for the arbitrator. A court with jurisdiction may enforce the award. If AAA cannot administer a case, the parties may agree on a compliant substitute; absent agreement, either may proceed in the competent court described below.

Exceptions and protected remedies

Either party may bring an eligible individual small-claims case, seek temporary emergency relief pending resolution, or contact authorities. Claims and remedies that cannot lawfully be arbitrated remain in court. Nothing waives nonwaivable public injunctive relief. A court determines the proper handling of such relief, including any lawful severance or stay.

Class waiver and opt-out

For disputes subject to a valid arbitration agreement, claims proceed individually, not as a class or representative arbitration, unless both parties agree after the dispute arises. The parties waive court and jury determination of those arbitrable claims. This does not waive protected representative remedies or create a separate jury waiver for claims that properly remain in court.

You may opt out of this arbitration agreement and its class waiver by emailing support@heystraz.com within 30 days after first affirmatively accepting this version. Include your name, account email and a clear opt-out statement. No postal duplicate or special form is required. Opting out does not affect access to Straz. We honor valid prior opt-outs.

If the class-arbitration waiver is invalid for a particular claim, that claim proceeds in court rather than class arbitration. Other enforceable provisions survive to the extent lawful. Changes to arbitration do not apply retroactively to a dispute already notified; a material revision requires appropriate notice and a fresh opportunity to opt out.

19. Governing law and courts

Delaware law governs except where mandatory law provides otherwise. For claims properly in court, the parties consent to state and federal courts in New York County, New York, except for eligible small-claims proceedings and a consumer's nonwaivable right to use another court. Consumers outside the United States are not subject to Section 18's mandatory arbitration requirement; mandatory protections and court rights in their home jurisdiction remain intact.

20. Apple-specific provisions

Where Apple's standard End User License Agreement applies to your download, it governs the software license. These Terms govern Straz's Services, subject to that license and mandatory app-store rules.

For an Apple download, this agreement is with Straz, not Apple. Straz is responsible for the app, support and applicable warranties. Use is limited to Apple products you own or control under Apple's Usage Rules, including permitted Family Sharing or volume purchasing.

If the app fails an applicable warranty, you may notify Apple for refund of its purchase price; Apple has no further warranty duty to the extent law permits. Straz handles other warranty losses, product, regulatory and privacy claims, and investigation, defense and resolution of app-related intellectual-property claims. Apple has no maintenance or support obligation.

You must comply with applicable third-party agreements and represent that you are neither in a U.S.-embargoed or designated terrorist-supporting country nor on a prohibited-party list. Apple and its subsidiaries may enforce these provisions as third-party beneficiaries. Nothing reduces statutory rights.

21. Changes and general provisions

We provide electronic account, legal and service notices using the app, website or account contact, subject to applicable law. Keep your contact information current. Marketing choices remain separate.

We identify each version by the date above and give reasonable advance notice of material changes where practical and required. We obtain renewed agreement where required. Changes do not retroactively eliminate accrued rights or authorize previously undisclosed processing. Section 18 controls arbitration revisions.

You may not assign the agreement without our consent except as law permits. Straz may assign it as part of a genuine corporate transaction if the successor assumes the applicable obligations and mandatory rights are preserved. These Terms create no agency, partnership, employment or fiduciary relationship.

These Terms, clearly incorporated feature/purchase terms and applicable privacy commitments form the relevant agreement, without excluding liability for misrepresentation that cannot be excluded. Failure to enforce a term is not a waiver. An invalid provision is severed to the extent lawful; Section 18 supplies its own arbitration severability rule. Nonwaivable law controls conflicting terms.

Do not use the Services in violation of applicable sanctions or export-control law.
